Biography

Stephen Fraidin is a highly regarded lecturer in law at Columbia Law School, known for his expertise in corporate law, mergers and acquisitions (M&A), and corporate governance. His distinguished career has included significant roles in M&A practices where he represented both bidders and targets in hostile takeovers. His experience extends to private equity and corporate governance, where he has engaged in proxy contests on behalf of targets and investors, as well as hedge fund activism. Fraidin has been involved in major corporate matters, including Procter & Gamble's significant acquisitions and dispositions and the creation of private equity funds at Forstmann Little & Co. He has also dealt with major acquisitions by 3G Capital and significant controversies such as the Adelphia Communications disclosure scandal. Additionally, he represented Pershing Square in a landmark proxy contest regarding Canadian Pacific and successfully challenged a hostile bid from Exelon with NRG Energy. In a notable transaction, he was involved in Pershing Square Tontine Holdings' groundbreaking $4 billion SPAC IPO. His contributions to the field have earned him recognition as the “Dealmaker of the Year” by American Lawyer. Alongside his professional work, Fraidin has taught courses on corporate law, including 'The Law & Economics of Corporate Control' at Yale Law School.
