Biography

Rob heads the Capital Markets group at Locke Lord LLP, an AMLAW 100 Firm, and began focusing on securities law practice with the Corporate Group at Hale Dorr in Boston, which is now part of Wilmer Hale. He accelerated his progress by joining the Corporate Finance Group at Shearman & Sterling LLP in New York. Over the years at S&S, he represented companies and investment banks, principally working on offerings of securities, including IPOs, convertible bonds, preferred stock, high yield, investment grade debt securities, and structured notes. He has a strong background in cross-border work, having been actively involved in securities offerings for European and Latin American international companies. Rob is a securities law specialist who has shifted his practice to mostly represent investment banks acting as underwriters for public offerings, including roles in Rule 144A and Regulation S offerings. He has consulted in-house lawyers at major investment banks on risk management, securities law compliance, and governance matters. He led teaching sessions on Ethics for In-house Lawyers at investment banks, working alongside former Penn Carey Law School Dean Bob Mundheim, who heads the ABA’s Standing Committee on Ethics and Professional Responsibility. In 2017, Rob left S&S to join the Securities & Exchange Commission's Division of Corporation Finance, where he served as Deputy Director and Chief of the Office of International Corporate Finance. In 2019, he joined Locke Lord to broaden his practice to include representing companies as issuers, as well as corporate governance and ESG. He is a member of the American Law Institute, serves on the TriBar Opinion Committee, co-heads the Capital Markets/Public Securities Affinity Group at WGLO, chairs the ABA Subcommittee on Securities Law Opinions, and is a member of the American College of Governance Counsel. As an adjunct, he has taught Ethics for Corporate Securities Lawyers and Advanced Fundamentals for Corporate Lawyers.
