Biography

Robert J. Lichtenstein counsels publicly and privately held enterprises on human resources, executive compensation, and employee benefits issues. He handles complex matters involving equity incentive compensation, employment, retention, and severance arrangements, as well as compliance under the Employee Retirement Income Security Act (ERISA). Lichtenstein represents clients in litigation involving benefits disputes and advises on executive compensation matters that arise during mergers, acquisitions, joint ventures, and private equity transactions. To date, he has represented senior management teams in over 100 transactions involving leveraged buyouts and acquisitions ranging from $100 million to $46 billion. Lichtenstein works closely with boards of directors and compensation committees to address fiduciary issues and governance matters. He is also a member of the board of directors for Women Against Abuse and remains active in the Federation of Jewish Appeal. Lichtenstein has served as an adjunct professor at Penn State Law and has held various governance roles in both private equity and public sector enterprises.
